1. Agreement and Identification of Parties

These Terms and Conditions ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Manifest Next Media LLC, an Arizona limited liability company operating under the registered Arizona trade name Mark R Cooley ("Company," "we," "us," or "our").

These Terms govern your access to and use of markrcooley.com and manifestnextmedia.com (collectively, the "Site"), and any related media, channels, or mobile versions.

The branding on this Site may refer to "Mark R Cooley," which is a registered trade name of Manifest Next Media LLC. All legal obligations, service inquiries, and contracts described in these Terms are entered into with and handled by Manifest Next Media LLC.

By accessing the Site, you agree to be bound by these Terms. You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you are accessing the Site from within the United States.

2. Services and Publishing

Through this Site, Manifest Next Media LLC offers public speaking and related engagement services featuring Mark R Cooley, provides informational content and a newsletter, and publishes the book described in Section 7. Any contract for public speaking services is entered into with Manifest Next Media LLC.

Coaching and advisory services are not offered or provided by Manifest Next Media LLC. Individual coaching and organizational/business advisory services featuring Mark R Cooley are offered separately through Future State Found LLC and are governed by Future State Found's own terms, located at futurestatefound.com. When you click to inquire about coaching or advisory, you will be directed to the Future State Found website, and any resulting relationship is between you and Future State Found LLC, not Manifest Next Media LLC.

3. Geographic Scope

The Site and its services are intended for users located in the United States of America only. We make no representation that the Site or its services are appropriate or available for use outside the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

4. Intellectual Property Rights

All content on the Site, unless otherwise noted, is the property of Manifest Next Media LLC, our affiliates, or relevant third parties. "Content" means any text, graphics, images, audio, video, software, data compilations, page layout, and underlying code that appears on or forms part of the Site. This Content is protected by copyright, trademark, and other intellectual property rights.

Nothing on this Site grants, by implication, estoppel, or otherwise, any license or right to use any trademark, logo, or service mark without the owner's prior written permission.

You may, for your personal, non-commercial use only: view the Content on screen, download and store it locally (but not on a networked server), and print one copy. You must not otherwise reproduce, modify, copy, distribute, or use any Content for commercial purposes without our written permission.

Mark R Cooley and Manifest Next Media LLC are trademarks of Manifest Next Media LLC. Certain marks referenced on this Site, including Future State Found™, the ASPIRE Transformation System™, and the ATLAS-TSI™ (Transformation Success Indicator), are trademarks of Ruby Sky LLC and are used with permission. The book titled Future State Found uses the Future State Found™ name under permission from Ruby Sky LLC. All other marks are the property of their respective owners.

5. Prohibited Use

You may not use the Site:

  • in any way that causes, or may cause, damage to the Site or interferes with any other person's use or enjoyment of it;

  • in any way that is unlawful, harmful, abusive, harassing, threatening, or otherwise objectionable, or in breach of any applicable law, regulation, or governmental order;

  • to make, transmit, or store electronic copies of Content protected by copyright without the owner's permission.

6. Service Inquiries

The Site provides forms for you to inquire about public speaking services and to contact us. You agree that the information you provide through these forms is accurate and complete. Manifest Next Media LLC reserves the right to refuse service to any person for any reason permitted by law.

7. The Book

Manifest Next Media LLC publishes the book titled Future State Found, authored by Mark R Cooley (the "Book"), scheduled for release on September 22, 2026, with presale availability beforehand. The title uses the Future State Found™ name under permission from Ruby Sky LLC.

The Book is sold through Amazon. When you choose to preorder or purchase the Book, you will be directed to Amazon, and your purchase — including payment, delivery, returns, and refunds — is governed entirely by Amazon's terms and policies, not by these Terms. Manifest Next Media LLC is the publisher of the Book but is not the seller of record for Amazon transactions and does not process your payment or fulfill your order directly. Any questions regarding an order, delivery, or refund for a Book purchased on Amazon should be directed to Amazon.

8. No Professional Relationship

The information on this Site, including any blog or descriptive content and the Book, is for informational purposes only. Submitting an inquiry form does not create a contractual, advisory, or professional relationship. A formal relationship for public speaking services is established only once a separate written contract has been signed by both you and Manifest Next Media LLC.

9. Disclaimers

Informational Purposes Only. The information on this Site and in the Book reflects the personal experiences and professional insights of Mark R Cooley. It is not professional, legal, medical, or financial advice.

No Guarantees. We make no guarantees, warranties, or representations concerning specific outcomes resulting from your use of the Site, its information, or the Book.

Personal Responsibility. You accept responsibility for your own actions taken based on information on the Site or in the Book, and you agree to use your own judgment and conduct due diligence before acting on any information provided.

10. Third-Party Links

The Site may contain links to other websites, including Future State Found and Amazon. Unless expressly stated, these websites are not under our control. We assume no responsibility for their content and disclaim liability for any loss or damage arising from your use of them. Inclusion of a link does not imply endorsement.

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference:

12. Limitation of Liability

To the maximum extent permitted by law, Manifest Next Media LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of, or inability to use, the Site, its information, or the Book, including loss of profits, revenue, data, business, contracts, goodwill, or commercial opportunities.

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under applicable law.

We will not be liable for losses arising from events beyond our reasonable control.

13. Indemnification

You agree to indemnify and hold harmless Manifest Next Media LLC, and its members, officers, and agents, from and against any claims, damages, or expenses arising out of your use of the Site or your violation of these Terms.

14. Dispute Resolution and Governing Law

14.1 Governing Law. These Terms, and any dispute arising out of or relating to these Terms or the Site, are governed by the laws of the State of Arizona and applicable federal law, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in this Section.

14.2 Informal Resolution Required First. Before initiating arbitration or any other proceeding, you and Manifest Next Media LLC, doing business as Mark R Cooley, agree to first attempt to resolve any dispute informally. The party raising the dispute must send a written Notice of Dispute describing the nature of the dispute and the relief sought to legal@manifestnextmedia.com, or by mail to 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801. Both parties will make good-faith efforts to resolve the matter. If the dispute is not resolved within sixty (60) days after the Notice is received, either party may proceed as permitted below. This informal-resolution step is a required precondition to starting arbitration.

14.3 Agreement to Binding Arbitration.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT REQUIRES THAT MOST DISPUTES BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

Except for the matters described in Section 14.6 (Exceptions), you and Manifest Next Media LLC, doing business as Mark R Cooley, agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products or services we provide — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved exclusively through final and binding individual arbitration, and not in court. The provisions of Sections 14.3 through 14.7 are referred to as the "Arbitration Agreement."

14.4 Arbitration Procedures. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms, before a single neutral arbitrator. Unless the parties agree otherwise, any in-person hearing will take place in Maricopa County, Arizona; you may also request that the arbitration be conducted by telephone, by video, or on the basis of written submissions. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Filing, administration, and arbitrator fees are governed by the AAA Consumer Arbitration Rules, and we will pay the portion of those fees that the rules require us to bear.

14.5 Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entire Arbitration Agreement shall be null and void as to the affected claim, but the remainder of these Terms (including Section 14.8) shall remain in full force and effect.

14.6 Exceptions to Arbitration. Nothing in this Arbitration Agreement requires arbitration of: (a) any claim that qualifies for and is brought in a small claims court, so long as it remains an individual claim in that court; or (b) any action by either party seeking injunctive or other equitable relief to protect intellectual property rights, including the Company's trademarks, copyrights, and other proprietary materials.

14.7 Right to Opt Out of Arbitration. You may opt out of this Arbitration Agreement and the class action waiver within thirty (30) days of first accepting these Terms by sending written notice to legal@manifestnextmedia.com stating your name, the email address you used to contact us, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

14.8 Forum for Disputes Not Subject to Arbitration. For any dispute that is not subject to arbitration under this Section — including claims within the Exceptions in Section 14.6, any action to compel arbitration or to enforce or confirm an arbitration award, and any dispute if the Arbitration Agreement is held unenforceable — you and the Company agree to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona, and consent to personal jurisdiction in those courts.

14.9 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS.

14.10 Survival. This Section survives termination of your relationship with the Company.

15. General

You may not transfer your rights under these Terms. We may transfer ours where your rights will not be adversely affected.

We may revise these Terms from time to time; revised Terms apply from the date of publication. Please check periodically to stay familiar with the current version.

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Site and supersede all prior discussions, arrangements, or agreements.

No third party shall have any right to enforce or rely on any provision of these Terms.

If any provision is found invalid, illegal, or unenforceable, it will be deemed modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No delay, act, or omission in exercising any right or remedy will be deemed a waiver of that or any other right or remedy.
